Terms of Service

1. Acceptance of Terms

By accessing or using High Art Media LLC's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service. We reserve the right to update these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Service Description

High Art Media LLC provides professional video and photo production services, combining traditional production techniques with AI-enhanced post-production. Our services include:

• Video production (commercial, event, promotional)
• Photography (product, portrait, event, real estate)
• AI-enhanced post-production and effects
• Digital content strategy and consultation

3. Service Area

Our services are available within a 50-mile radius of Cumberland, Maryland, covering parts of Maryland, Pennsylvania, and West Virginia. Additional travel fees may apply for locations outside this area.

4. Booking and Cancellations

• Booking: Services must be booked in advance with a signed contract and deposit
• Deposits: A 50% non-refundable deposit is required to secure your booking date
• Cancellations: Cancellations must be made at least 48 hours in advance
• Rescheduling: One free reschedule is allowed with 48-hour notice

5. Payment Terms

• 50% deposit required upon booking
• Remaining balance due upon delivery of final files
• Late payments subject to 1.5% monthly interest
• Accepted payment methods: Bank transfer, credit card, check

6. Intellectual Property and Usage Rights

6.1 Ownership

• High Art Media retains copyright of all raw footage and original files
• Clients receive usage rights as specified in their contract
• Additional usage rights may be purchased separately

6.2 Portfolio Usage

High Art Media reserves the right to use created content for portfolio, marketing, and promotional purposes unless otherwise agreed in writing.

6.3 Client Materials

Clients warrant that they have all necessary rights to any materials provided to us and will indemnify us against any claims arising from their use.

7. Delivery and Revisions

• Delivery Timeline: As specified in contract, typically 2-4 weeks
• Revisions: Packages include specified revision rounds
• Additional Revisions: Charged at hourly rate
• Final Delivery: Via digital download or physical media

8. Client Responsibilities

Clients agree to:

• Provide necessary access to locations
• Obtain required permits and permissions
• Provide accurate project information
• Review and approve deliverables timely
• Ensure safety of crew and equipment on location

9. Limitation of Liability

High Art Media's liability is limited to the amount paid for services. We are not liable for:

• Indirect, consequential, or incidental damages
• Lost profits or opportunities
• Equipment failure beyond our control
• Weather-related delays or cancellations
• Third-party vendor failures

10. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, pandemic, government actions, or equipment failures.

11. Confidentiality

Both parties agree to maintain confidentiality of any proprietary information shared during the course of the project. This obligation survives termination of the agreement.

12. Insurance and Indemnification

• High Art Media maintains general liability insurance
• Clients are responsible for insuring their own property
• Each party indemnifies the other against claims arising from their negligence

13. Termination

Either party may terminate services with written notice. Upon termination:

• Client pays for work completed to date
• Deposits are non-refundable
• Partial deliverables may be provided at our discretion

14. Dispute Resolution

Any disputes shall be resolved through good faith negotiation. If necessary, disputes will be submitted to binding arbitration in Allegany County, Maryland.

15. Governing Law

These Terms are governed by the laws of Maryland, without regard to conflict of law provisions.

16. Entire Agreement

These Terms, together with any signed service agreement, constitute the entire agreement between the parties.
